2. License
Westcot grants the customer a perpetual, non-exclusive, non-transferable license to install and run WUship on the one production website named in the order form, once the license fee is paid.
Included sites. Staging, development and local copies of that website are included at no charge.
Additional production websites each need their own license at the then-current price.
Source code. WUship ships as readable PHP. The customer may read and modify it for their own site. Westcot is not obliged to support a modified copy, and modified files are reported by the plugin's self-check (section 6).
Not permitted. Reselling, sublicensing, sharing the license key, or distributing WUship or a derivative to any other party. Removing license or copyright notices.
Ownership. Westcot retains all right, title and interest in WUship, its documentation and trademarks. Nothing here transfers ownership of the code.
Version. The license covers the version installed at purchase and any updates delivered while a Premium plan is active. The customer keeps whatever version they have when a plan ends.

Business hours are 9am to 5pm Eastern, Monday to Friday, excluding US holidays. Hours above are a monthly allowance and do not roll over. Work past the allowance is billed at $150 per hour with the customer's approval first.
A plan starts on the first day of the month after installation, or on signing if the customer chooses, and renews monthly until cancelled under section 5.
4. Installation and what is not included
Self-installation. After the license is paid, the customer downloads the plugin from their customer portal (one download link per purchase; Westcot issues another on request) and installs it following the written guide. Email support for installation questions is included for 30 days.
Installation by Westcot (optional, at the price in the order form) covers: installing the plugin, entering the customer's carrier credentials, configuring the customer's existing box catalog and shipping rules, running the plugin in staff-only test mode beside the current rating method, and switching it live when the customer approves the comparison. It is scheduled once the order is paid and access is in place.
Access for installation. The customer creates a WordPress administrator user for Westcot (email support@westcot.io) so that WordPress sends Westcot its own set-password link; the customer never needs to share a password. The customer may remove that user when the installation is signed off. The customer also provides a staging copy or permission to use test mode on the live site, carrier developer credentials (Westcot supplies a written walk-through for UPS), product weights and dimensions, and a list of the cartons they ship in.
Not included unless listed on a signed order with its own price:
Cleaning up or entering product weights and dimensions.
Building a box catalog from scratch or measuring cartons.
Translating rules from ShipperHQ or another rating service beyond what WUship supports as configured.
Custom development, freight or LTL integration, label purchase, or integration with other systems.
Negotiating carrier contracts, or carrier account fees.
Theme, checkout or hosting changes needed for WooCommerce itself to work.
5. Fees, payment and cancellation
License fee. $2,995 list, or the price on the order form, invoiced on signing and due before installation begins.
Monthly plans. Billed monthly in advance by card or ACH on the plan start date. A plan may be changed between Standard and Premium at any monthly renewal.
Cancellation. Either party may cancel a monthly plan with 30 days' written notice. No refund for the month in progress. The license is unaffected by cancelling a plan.
Refund of the license fee. If WUship cannot be made to return rates on the customer's site within 30 days of installation for reasons within Westcot's control, the customer may cancel and receive the license fee back in full. After the site goes live, the license fee is not refundable.
Late payment. Amounts unpaid 30 days after the due date accrue 1.5% per month. Westcot may suspend a monthly plan for non-payment after written notice; it will not disable the plugin for non-payment.
Taxes. Prices exclude sales and similar taxes, which the customer pays where applicable.
Price changes. Monthly plan prices may change with 60 days' written notice, effective at the next renewal after the notice period.
6. Carrier accounts, data and the plugin's check-in
Carrier accounts. WUship quotes the customer's own UPS and FedEx accounts (FedEx in final testing at signing: available to store managers in admin-preview mode first). Credentials stay in the customer's WordPress database; Westcot does not hold them except during installation and support work with the customer's permission.
Order data stays on the customer's site. Rates are requested from the carrier directly by the customer's server. No order, product or address data passes through Westcot.
Check-in. The plugin contacts Westcot's license server on activation and about once a day. It sends the license key, the site's domain, an anonymised install fingerprint, the plugin, WordPress, WooCommerce and PHP versions, and counts only: quotes and errors in the last 24 hours and whether each carrier was reachable. It never sends customer, order, product or address data. This check-in is what delivers version notices and, on a service plan, the monitoring in section 3. The customer may turn off the health counts; the license check itself stays on.
Checkout never stops over licensing. If the license server is unreachable, the plugin keeps quoting and shows a notice to administrators only. Only a confirmed breach of section 2, after written notice and 14 days to cure, allows Westcot to revoke a license, and even then the plugin falls back to staff-only test mode rather than breaking checkout.
Confidentiality. Each party keeps the other's non-public business information confidential and uses it only for this agreement.
7. Warranty and liability
What Westcot warrants. For 90 days after the site goes live, WUship will return carrier rates in checkout as configured during installation. Westcot's remedy for a breach is to fix the defect or, failing that, refund the license fee.
What it does not warrant. Carrier rates, delivery dates and address checks come from the carrier and may change or be unavailable. Westcot does not warrant that rates will match the customer's previous rating service, that the customer's hosting will stay available, or that WordPress, WooCommerce or theme updates will not require changes.
No other warranties. Except as stated above, WUship is provided as is, and Westcot disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose.
Limit of liability. Neither party is liable to the other for lost profits or indirect, incidental or consequential damages. Westcot's total liability under this agreement is capped at the amounts the customer paid Westcot in the 12 months before the claim. These limits do not apply to a breach of section 2 or section 6 confidentiality.
Customer responsibility. The customer remains responsible for the shipping prices it charges its own customers, for reviewing rates in test mode before cutover, and for keeping backups of its site.
8. General
Term. The license lasts indefinitely. Monthly plans run until cancelled under section 5. Sections 2, 6 and 7 survive any termination.
Termination for breach. Either party may terminate on written notice if the other materially breaches this agreement and does not cure within 30 days of notice. Westcot may terminate the license only for an uncured breach of section 2.
Independent parties. Nothing here creates a partnership, agency or employment relationship. A sales representative may present this agreement but cannot change its terms, promise features, or make warranties on Westcot's behalf.
Reference customer. With the customer's written permission, Westcot may name the customer and its website as a WUship user.
Assignment. The customer may transfer the license with the sale of the website it covers, on written notice to Westcot. Otherwise neither party may assign this agreement without the other's consent, except to a successor of its business.
Governing law. This agreement is governed by the laws of the State of [State], without regard to conflict-of-law rules, and disputes are brought in the state or federal courts located in [County, State].
Notices. In writing, by email to the addresses on the order form, with a copy by post for any notice of breach or termination.
Entire agreement. This document, with any signed order, is the whole agreement and replaces prior discussions. Changes must be in writing and signed by both parties. If a term is unenforceable, the rest stands.
